Site terms, terms of use and purchase, cancellations and refunds
Welcome to the Biyohub site at biyohub.com (the "site").
These terms govern use of the site and the general conditions that apply to purchasing services from Biyohub. Use of the site is subject to these terms.
Where a service is purchased, before payment is made the customer will also be presented with a contract and a quote relating to the specific transaction, and will be required to approve them explicitly.

2. The services offered
Biyohub provides software and digital services, mainly to businesses, organizations and professionals.
The services may include, among others, building and developing websites and digital systems, brochure and content sites, online stores and commerce systems, catalogs, queue systems, systems for managing inquiries and leads, content management systems, blogs, forms and questionnaires, member areas, automations, integrations with external systems, content and SEO services, hosting, maintenance, ongoing operation and further services presented on the site.
This list is a general description of the services. The scope of the service actually purchased, the components included in it, quantities, prices and any special conditions will be set out in the specific contract and quote presented to the customer before the transaction is made.
3. Information on the site and the service calculator
The site includes information about Biyohub and its services and may include a calculator or configurator that lets the customer choose services, describe their requirements and receive a configuration and price based on their selections.
Marketing information, explanations, examples and general content appearing on the site do not, in themselves, constitute an undertaking to carry out a particular project at a particular scope or on particular terms.
Before a transaction is made, a final contract and quote relating to the specific transaction will be made available to the customer for review.
The customer is not obliged to complete the transaction if the final contract or quote is not acceptable to them.
Where there is a difference between information presented at an earlier stage on the site or in the calculator and the final contract or quote, the difference will be presented to the customer before payment is made, and the final documents approved by the customer are the ones that will apply to the transaction.
4. Formation of the transaction
Before payment is made, the contract and quote relevant to the transaction will be made available to the customer for review.
The customer will be required to confirm explicitly that the documents were made available for their review, that they have read them and that they agree to the details and terms of the transaction.
The purchase cannot be completed without that confirmation being given.
Subject to the conditions set out in the contract and the quote, once the confirmation has been given and a payment has been successfully approved, the transaction will be considered approved.
Biyohub may keep an electronic record of the customer's confirmation and of the versions of the documents they approved, in accordance with the privacy policy and the provisions of the law.
5. The relationship between these terms, the contract and the quote
These terms set out the general conditions that apply to the site and to engaging with Biyohub.
The specific quote sets out the services, components, quantities and prices purchased as part of the transaction.
The specific contract sets out the legal and commercial terms of that engagement, including, where relevant, the term of the engagement, payment dates, timetables, termination or cancellation conditions and further special terms.
In the event of a conflict between a general provision of these terms and an express provision of the contract or quote approved by the customer in respect of a particular transaction, the specific provision approved as part of that transaction will prevail, subject to provisions of law that cannot be contracted out of.
6. Prices and payment
The binding price for a transaction is the price set out in the final quote approved by the customer.
Before payment is made, the amount payable and the payment terms applying to the transaction will be presented to the customer.
Depending on the service selected, the quote may include:
- a one-time payment for setup, development, design, integration or another service;
- a monthly or periodic payment for an ongoing service;
- an annual payment or another periodic charge;
- components and add-ons selected by the customer.
How value added tax is calculated and presented, to the extent it applies, will be set out in the quote and in the amount presented to the customer before payment is made.
Payment may be made through an external payment provider and is subject to the checks and security measures customary within that payment service.
Non-approval or rejection of the payment by the credit card company, the payment provider or another relevant party may prevent the transaction from being completed.
7. Third-party services and charges
Some of the services offered by Biyohub may include connecting to or interfacing with third-party services, such as payment providers, mailing systems, messaging services, domain providers, invoicing systems, shipping companies, cloud services and other external services.
Unless expressly stated otherwise in the quote, payment to Biyohub does not include subscription fees, commissions, usage costs, messaging costs, payment-processing fees, shipping, licences or other payments charged by an external provider directly to the customer.
Use of third-party services may also be subject to that provider's terms and policies.
8. Cancellations and refunds - business customers
Biyohub's services are intended mainly for purchase for business and professional purposes.
Where the service is purchased as part of a business or professional activity, the cancellation, termination and refund terms of the transaction will be the terms set out in the specific contract and quote approved by the customer.
Among other things, the transaction documents may govern how the engagement is terminated after work has begun, payment for work already carried out, costs already incurred for the project, ongoing services and commitment periods.
Ceasing to use a service, or asking to stop a project, does not automatically cancel charges or commitments the customer has taken on under the transaction documents.
Any refund, to the extent one is due, will be calculated in accordance with the approved contract and quote and with the applicable law.
9. Cancellations and refunds where the Consumer Protection Law applies
To the extent the provisions of the Consumer Protection Law, 5741-1981 apply to a particular transaction and the customer is entitled by law to a right of cancellation, restitution or another consumer right, the relevant provisions of the law will apply notwithstanding any other provision in these terms, in the contract or in the quote.
In cases where the law permits cancellation of a transaction, cancellation and restitution will be carried out in accordance with the timeframes, conditions and limitations set out in the law.
To the extent the law permits charging cancellation fees, proportionate consideration for a service already provided or other costs, Biyohub will be entitled to charge them only in accordance with the provisions of the law.
Where the law does not permit charging cancellation fees, including in the relevant cases of a defect, non-conformity, breach or failure to supply on time, no cancellation fees will be charged contrary to the law.
Nothing in these terms is intended to negate or narrow a right that cannot be contracted out of under the law.
10. Contacting us about cancelling a transaction
Where the customer has a right to cancel a transaction under the transaction documents or under the law, a cancellation request may be submitted using Biyohub's contact details:

The cancellation request should include reasonable details making it possible to identify the customer and the relevant transaction.
To the extent the law affords the customer further ways of giving notice of cancellation, nothing in this section derogates from them.
11. Permitted and prohibited use of the site
The site must not be used for any unlawful or harmful purpose, or in any way that breaches these terms or the rights of others.
Without derogating from the above, you must not:
- attempt to gain access to the site or related systems without authorization;
- circumvent or interfere with security mechanisms;
- disrupt or attempt to disrupt the operation of the site;
- place a deliberate load on the site or run harmful automated activity against it;
- carry out automated collection of information or content from the site without permission, other than activity permitted by law;
- use the site for fraud, impersonation or unlawful activity;
- upload or transmit through the site content that is unlawful, harmful or infringes the rights of a third party.
Biyohub may restrict or block use of the site in the event of abuse, an attempted attack, unlawful activity or a material breach of these terms.
12. Intellectual property on the Biyohub site
All rights in the Biyohub site and in the original content appearing on it, including the design, code, texts, graphics, trademarks, logo and the Biyo character, belong to Biyohub or are used by it lawfully.
This content must not be copied, reproduced, distributed, published, sold, publicly displayed or used commercially without prior written permission, other than use permitted by law.
This section relates to the Biyohub site and its content and does not determine ownership of, or usage rights in, deliverables built for customers; those matters are governed by the specific contract for each project.
13. Accuracy of information on the site
Biyohub works to keep the information on the site accurate and up to date, but errors, inaccuracies or out-of-date information may appear on it.
Projects, screenshots, demonstrations, examples and usage descriptions presented on the site are intended to illustrate the services and the nature of the work and do not constitute an undertaking that every project will look or work identically.
For any specific transaction, the contract and quote approved by the customer are the governing documents.
14. External links and services
The site may include links to websites, systems or services operated by third parties.
Biyohub does not control the content, availability, security, terms or policies of external sites and services and is not responsible for their operation, other than to the extent such responsibility is imposed on it by law.
Moving to an external site or using it is the user's responsibility and is subject to the terms of that service.
15. Site availability and limitation of liability
Biyohub works to keep the site available and functioning, but it is not possible to guarantee that a website will be available without interruption or free of faults at all times.
There may be, among other things, technical faults, maintenance work, network disruptions, faults at infrastructure providers or events outside Biyohub's control.
Subject to any law, Biyohub will not be liable for indirect damage arising from the mere use of the Biyohub site, from its temporary unavailability, from reliance on general information appearing on it or from an external service not within its control.
Nothing in this section limits liability that cannot be limited by law, and it does not govern Biyohub's liability in connection with a project or system built for a particular customer; that liability is governed by the specific contract with that customer.
16. Privacy
The collection and use of personal information within the site, the configurator and the purchase process are carried out in accordance with Biyohub's privacy policy published on the site.
The privacy policy forms an integral part of the terms of use of the site.
17. Accessibility
Information about the accessibility arrangements on the site and how to make contact on accessibility matters is published in Biyohub's accessibility statement on the site.
18. Changes to these terms
Biyohub may update these terms from time to time, including following a change to the site, to the services or to legal requirements.
The updated version will be published on this page, stating the date of the update.
A change to the general terms will not retroactively change the price, scope of service or specific conditions of a transaction already entered into, except to the extent required by law or otherwise agreed between the parties.
19. Governing law and jurisdiction
Use of the site and these terms are governed by the laws of the State of Israel.
Any dispute in connection with these terms or with use of the site will be heard before the competent courts in Israel, subject to any provision of law applying to the parties.
Jurisdiction terms relating to a particular project or business transaction may be governed separately in the specific contract for that transaction.
